1. Description of the Program
1.1 The reward program (”Program”) is a service administrated by Simplyk Inc. (651 N broad street suite 206, Middletown, Delaware, 19709), doing business as “(Zeffy”) as part of its enrollment into the Issuing Spend Card Program managed by Stripe (”the Sponsor”) and provided by Celtic Bank (”the Issuing Bank”). The Program aims at rewarding the participants in the Program through financial incentives (”the Rewards”).
1.2 Zeffy, in agreement with the Sponsor and the Issuing Bank, reserves the right to change these terms and conditions including the Reward computation and distribution mechanisms described below. All notices pertinent to the Program or these Terms may be sent to the participants by email at the email address on file with us, and/or posted to the Zeffy platform. The continued participation in the Rewards Program of a participant after the effective date of any notice of change shall constitute an agreement to the amended Rewards Terms.
2. Eligibility
2.1 Participation in the Program is exclusive to the Zeffy customers (”the Organizations”) for which Zeffy administrates a balance (”the Stripe Issuing Balance”) and whose affiliated users (”the Authorized Users”) hold an active physical card payment method (the “Spend Card”) issued as part of the Stripe Issuing Spend Card Program.
2.2 As the administrator, Zeffy reserves the right to disqualify any Authorized User or any Organization from participation in the Program and invalidate future, past or being-accrued Rewards notably for abuse, fraud, or any violation of the Program terms and conditions. Zeffy may make such a determination in its sole discretion.
3. Reward calculation and distribution
3.1 Zeffy computes every month, on the 10th, the Rewards attributable to the Organization. The Rewards will correspond to 1.25% of the amount of (« Eligible Spendings ») made by the Authorized Users attached to the Organization over the previous month. This equates to $0.0125 in Rewards for each $1 spent.
3.2 The Rewards will be computed net of any returned purchases, reversed transactions, refunds, credits, or chargebacks recorded, according to the same calculation principles as in 3.1. It may result in a negative Rewards balance that may be offset with future Rewards.
3.3 Following the monthly calculation deadline, Rewards are automatically redeemed for a credit (if Rewards balance is positive) of the corresponding amount to the Stripe Issuing Balance of the Organization.
3.4 Eligible Spendings correspond to any lawful purchase to buy good or services with a Spend Card other than:
- Balance transfers, top-ups and cash advances, including convenience checks and traveler’s checks, ATM withdrawals, money orders and other cash equivalents such as gift cards;
- Gaming and betting charges, including lottery tickets, casino chips, off-track betting and wagers at racetracks;
- Purchases related to any activities identified by the Issuing Bank, the Sponsor, or Zeffy as a restricted business or activity. Restricted businesses or activities include use of the Program and Cards in or for the benefit of a country, organization, entity, or person embargoed or blocked by any government, including any lists published by OFAC. The Issuing Bank, the Sponsor and Zeffy may periodically add to or revise businesses designated as restricted businesses;
3.5 As a consequence of 1.2, Zeffy may revise the Eligible Spendings conditions at any moment. In particular, Zeffy may include new categories of ineligible purchases.
3.6 Merchants are assigned a merchant category code (MCC) based on the merchants primary line of business. Zeffy may use this sole MCC to decide whether a given purchase is an Eligible Spending definition. Zeffy does not determine which MCC a merchant chooses to classify itself. A purchase, though attached to a good or service that should be eligible to Rewards, can be considered ineligible if the MCC communicated is misleading.
3.7 Despite Zeffy efforts to ensure accuracy, errors may occasionally occur in administering the Rewards. Zeffy reserves the right to correct such errors at any time even if the correction affects a pending accumulation or redemption of Rewards.
3.8 Rewards have no cash or any other value until redeemed and paid out and may not be used to repay other obligations to us or anyone else. You have no property rights or other legal interests in the Rewards accrued through the Program. You may not transfer, assign, pledge, buy, or sell Rewards (including transfers upon death or as part of a domestic relations matter).
3.9 All Rewards are subject to verification and confirmation by Zeffy, whose decisions regarding Rewards and related disputes shall be final.
3.10 If Zeffy, the Sponsor or the Issuing Bank, disqualifies the Organization from participation in the Program or terminates the business relationship with the Organization before the 10th of the month, the Rewards accrued at the moment of the disqualification or termination may be lost and Zeffy has no obligation to pay it out. If the Rewards balance is negative at the moment of the disqualification or termination and cannot be offset, Zeffy reserves the right to recover the corresponding amount by all possible means.
